Terms of Service

This document is a terms-of-service template for Hono's Stage 0 launch. It is complete and intended for production use, but should be reviewed by counsel before Hono operates commercially at scale.

1. Agreement

These Terms of Service ("Terms") govern access to and use of hono.com and the Hono publisher console (together, the "Platform"), operated by Hono ("Hono," "we," "us"). By creating an account or connecting a property, you ("Publisher," "you") agree to these Terms.

2. What Hono is

Hono is an agent platform for Publishers. Hono connects to a Publisher's Google Ad Manager, GA4, and Ezoic accounts to build a media kit and to configure and operate an AI negotiation agent that communicates with buyer-side agents on the Publisher's behalf.

Hono is not a counterparty, advertising agency, or merchant of record. Hono does not buy, sell, or take title to advertising inventory. Any deal negotiated through the Platform is between the Publisher and the buyer; Hono acts solely as the Publisher's configured agent and technology provider.

3. Authorization to negotiate automatically

By connecting a property and enabling negotiation, you authorize Hono to:

  • Represent your inventory to buyer-side agents using the media kit and terms you configure.
  • Exchange offers and counteroffers with buyer agents automatically, strictly within the price floors, inventory limits, and other guardrails you set in the Platform.
  • Present any deal that reaches or exceeds your configured terms for your explicit approval before it is booked.

Hono will not book a deal into your ad server without an approval action you or an authorized user on your account takes, unless you explicitly enable an auto-approve rule for deals meeting criteria you define.

4. Your responsibilities

  • Provide accurate account, property, and connection information, and keep your Google Ad Manager, GA4, and Ezoic connections in good standing.
  • Set negotiation guardrails (floors, inventory limits, blocked buyers, etc.) that reflect terms you're willing to accept — Hono negotiates within the bounds you configure and is not responsible for bounds you configure incorrectly.
  • Comply with the terms of service of Google Ad Manager, GA4, and Ezoic.
  • Not use the Platform to misrepresent your inventory or traffic.

5. No warranty on buyer demand

Hono does not guarantee any level of buyer interest, bid volume, fill rate, or revenue. Deal flow depends on market demand and buyer-agent participation, which is outside Hono's control. The Platform is provided "as is" without warranties of any kind regarding results.

6. Fees

Hono charges Publishers according to the plan selected at signup. Fee schedules and billing terms are provided separately in your order form or plan page and are incorporated into these Terms by reference.

7. Data and privacy

Hono's collection and use of data, including data obtained via connected Google and Ezoic accounts, is governed by our Privacy Policy.

8. Termination

You may disconnect properties or close your account at any time. Hono may suspend or terminate access for breach of these Terms, non-payment, or misuse of the Platform. Sections concerning data, liability, and the counterparty disclaimer in Section 2 survive termination.

9. Limitation of liability

To the maximum extent permitted by law, Hono is not liable for indirect, incidental, or consequential damages, or for lost revenue from deals negotiated or not negotiated through the Platform. Hono's total liability for any claim is limited to the fees you paid in the three months preceding the claim.

10. Changes to these Terms

We may update these Terms as the Platform evolves. Continued use after an update constitutes acceptance of the revised Terms.
